Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between MapleBase Technologies Inc. ("ScotiaSignal," "we," "us," or "our") and the corporate entity or individual ("Customer," "you," or "your") accessing our enterprise software-as-a-service platform.

By executing an Order Form, registering for a Proof of Concept (POC), or accessing the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that entity.

1. Service Overview

ScotiaSignal provides a market intelligence platform designed to help companies identify business opportunities within the public sector. The Service includes access to proprietary databases of public intent signals, contract histories, and contact information, accessed via a web-based dashboard using unique login credentials.

2. Account Access and Security

2.1 User Accounts

Access is provided to authorized specific users identified in your subscription. Login credentials may not be shared between individuals. You are responsible for maintaining the confidentiality of your credentials.

2.2 Customer Responsibilities

You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized access.

3. Subscription, POC, and Payments

3.1 Proof of Concept (POC)

We may offer a paid 1-month Proof of Concept ("POC") period. The POC is a limited-term engagement designed to validate the Service's value. At the end of the POC:

  • You may elect to upgrade to an Annual Subscription; or
  • Your access will automatically terminate if a long-term contract is not executed.

3.2 Annual Subscriptions

Following a POC, our standard engagement is an Annual Subscription. Fees for Annual Subscriptions are invoiced in advance.

3.3 Payment Terms

Unless otherwise defined in an Order Form, all fees are due upon receipt of invoice. Late payments may result in suspension of Service. All fees are non-refundable except as expressly provided in these Terms.

4. Data Rights and Ownership

4.1 Customer Data

You retain all ownership rights to the data you input into the Service ("Customer Data"), such as your Ideal Customer Profile (ICP) settings, search configurations, and notes. You grant ScotiaSignal a limited license to use Customer Data solely to provide and improve the Service for you. We do not sell Customer Data to third parties.

4.2 ScotiaSignal Intellectual Property

We own all rights, title, and interest in the Service, including our proprietary algorithms, the aggregation methodology of public data, the dashboard interface, and the code.

4.3 Use of Public Sector Data

The Service aggregates records from open public sources (e.g., FOIPOP requests, tender notices). While these underlying facts are public, the organization, enrichment, and presentation of this data within the Service constitute our proprietary database. You may use this data for your internal business purposes but may not scrape, resell, or systematically redistribute the data to third parties.

5. Acceptable Use Policy

You agree not to:

  • Reverse engineer, decompile, or attempt to discover the source code of the Service.
  • Use the Service to build a competitive product or service.
  • Use automated systems (bots, scrapers) to access the Service.
  • Use the contact information provided in the Service in violation of anti-spam laws (e.g., CASL). You are solely responsible for the compliance of your outreach campaigns.

6. Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other. We agree to keep your Customer Data confidential. You agree to keep our pricing, roadmaps, and technical specifications confidential. Both parties agree to use reasonable care to protect Confidential Information.

7. Warranties and Disclaimers

7.1 Organization Warranty

Each party represents that it has validly entered into these Terms and has the legal power to do so.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE IS PROVIDED "AS IS." WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE MAKE NO WARRANTIES REGARDING THE ACCURACY OF PUBLIC PROCUREMENT DATA SOURCED FROM GOVERNMENT ENTITIES, AS THIS DATA IS SUBJECT TO CHANGE BY THE ISSUING BODIES.

8. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS OR REVENUE). OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Term and Termination

9.1 Term

These Terms commence on the effective date of your Order Form or POC registration and continue until all subscriptions have expired or been terminated.

9.2 Termination for Cause

Either party may terminate these Terms if the other party materially breaches the agreement and fails to cure such breach within 30 days of written notice.

9.3 Effect of Termination

Upon termination, your right to access the Service will cease. You may request an export of your Customer Data within 30 days of termination.

10. General Provisions

10.1 Governing Law

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada. Any disputes shall be resolved in the courts of Halifax, Nova Scotia.

10.2 Updates to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or via the Service platform before the changes take effect.
